  • Bylaw change proposal as follows (also see attached markup)

Change 1. Amend Term Limits –

Article IX, Section 4. Term Limits. No member shall hold the office of Commodore, Vice Commodore, or Rear Commodore for more than two successive one-year terms. No member shall hold the office of Director for more than four successive one-year terms.

·         Change from three years to four years

Rationale:  Flag Officers and Directors are selected every year by the Nominating Committee and confirmed by the membership at annual meeting.  In the past, the three-year term limit has resulted in losing solid contributors as they get “termed” out.  The change is to reduce the chance of this occurring going forward.

Change 2. Commodore Duties

Article VI, Section 2:  Commodore:  The Commodore shall preside over all meetings of the Club and the Board of Directors and shall have the powers and shall perform the duties customarily incident to that office.  The Commodore shall appoint such committees as may be necessary to conduct the business of the Club. In addition, the Commodore shall appoint individuals(s) required to ensure compliance with Federal, State and Local laws.  All such appointments shall be subject to the advice and consent of the Board of Directors. 

Change:  Add In addition, the Commodore shall appoint individuals(s) required to ensure compliance with Federal, State and Local laws.  All such appointments shall be subject to the advice and consent of the Board of Directors.

Rationale:  The addition of this language (above) allows the Commodore and Board to select individuals within the Club the have specific knowledge that might be required to ensure compliance with Federal, State and Local laws.  For example, a person with background in Human Resources may be called upon to serve as the Sexual Harassment Officer to oversee such issues as they may arise.
